These Terms of Service ("Terms") govern your access to and use of ProductRaise (the "Service"), a fundraising platform operated by LipRevolt ("ProductRaise," "we," "us," or "our"). By creating an account, joining a fundraising group, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
ProductRaise connects fundraising organizers ("Group Leads"), their teammates or club members ("Participants"), and brand partners ("Brand Admins") to run product-based fundraising campaigns. Group Leads create and manage fundraising groups; Participants join a group to sell products and track their individual and team progress; Brand Admins manage their organization's storefronts, products, and campaign settings. Shoppers complete purchases directly on Shopify-hosted storefronts operated in connection with the applicable campaign, and those purchases are subject to Shopify's own terms.
You must be at least 18 years old to create a Group Lead or Brand Admin account. Participants who are minors must be added or supervised by a parent, guardian, or coach acting as the Group Lead for their group. You agree to provide accurate, current information when creating an account and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to run and participate in fundraising campaigns honestly and in good faith, including by:
We reserve the right to remove any campaign, group, or content that we believe violates these Terms or is otherwise harmful, misleading, or unlawful.
Shoppers pay for products directly through Shopify checkout; ProductRaise does not process or store shopper payment card information. Brand Admins are charged a platform fee, currently 10% of qualifying sales unless otherwise agreed in writing, which is invoiced and collected through Stripe. Group Leads who become eligible for a payout must complete a W-9 (or equivalent) tax profile before funds are disbursed, and ProductRaise will issue applicable tax forms, such as Form 1099, once IRS reporting thresholds are met. Payouts are issued to the payment details you provide, and you are responsible for keeping that information accurate and up to date; we are not responsible for payouts sent to incorrect information you supplied.
By providing a phone number and opting in, you agree to receive text messages related to your fundraising campaign, as described in our Privacy Policy. By creating an account, you agree to receive transactional emails necessary to operate the Service, such as invite, confirmation, and payout notifications. You may unsubscribe from non-essential marketing emails at any time.
"User Content" means any text, photos, banners, or other material you submit to the Service, including profile photos, group banners, marketing photos, and your personal fundraising story. You retain ownership of your User Content, but you grant ProductRaise a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and distribute your User Content as necessary to operate the Service, including displaying it on public fundraising and storefront pages. You represent that you have the right to submit your User Content and that it does not infringe any third party's rights or violate any law.

The Service relies on and links to third-party services, including Shopify (storefronts and checkout), Stripe (billing), Twilio (text messaging), Resend (email), Supabase (data infrastructure), and Vercel (hosting). Your use of those services may be subject to their own terms and policies, and ProductRaise is not responsible for the acts or omissions of these third parties.
The Service, including its design, features, and underlying software, is owned by ProductRaise/LipRevolt and protected by intellectual property laws. Except for your User Content, you may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Service. You may stop using the Service and request account deletion at any time by contacting us. Sections of these Terms that by their nature should survive termination, including Payments, User Content licenses, Disclaimers, Limitation of Liability, and Governing Law, will survive.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY FUNDRAISING CAMPAIGN WILL ACHIEVE A PARTICULAR RESULT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODUCTRAISE AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE PLATFORM FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED DOLLARS ($100).
You agree to indemnify and hold harmless ProductRaise, LipRevolt, and their officers, employees, and agents from any claims, damages, or expenses, including reasonable attorneys' fees, arising from your use of the Service, your User Content, or your violation of these Terms.
These Terms are governed by the laws of the State of Georgia and the United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Georgia, and you consent to the personal jurisdiction of those courts.
We may update these Terms from time to time. If we make material changes, we will update the effective date below and, where appropriate, provide additional notice. Your continued use of the Service after a change becomes effective constitutes acceptance of the revised Terms.
